Engagement Basics

Terms of Service

The practical guidelines that keep every CaptivArt engagement transparent, secure, and on schedule.

1. Agreement & Scope

  • These terms govern all SEO, Google Ads, design, and engineering engagements delivered by CaptivArt.
  • Project scope, deliverables, and sprint cadence are detailed in individual proposals or statements of work (SOWs).
  • Work begins after the proposal is accepted in writing (email or e-signature) and the initial invoice is settled.

2. Payments & Invoicing

  • Standard engagements require 50% to kick off and 50% on completion, unless a monthly retainer or milestone schedule is agreed.
  • Invoices are issued in Kenyan Shillings (KES) with bank transfer, M-Pesa, or USD wire instructions included.
  • Late payments beyond 10 days may pause active work until the balance is cleared.

3. Client Responsibilities

  • Provide timely access to assets, logins, analytics, Google Ads accounts, and subject-matter experts.
  • Review deliverables within the agreed feedback window (typically 2–3 business days).
  • Ensure any claims or statistics supplied to CaptivArt are accurate and legally compliant.

4. Revisions & Change Requests

  • Each milestone includes one structured revision loop unless otherwise noted.
  • Out-of-scope requests are estimated separately and require written approval.
  • Expedited changes requested outside working hours are billed at an agreed rush rate.

5. Intellectual Property

  • Clients own final deliverables (copy, designs, code) once all invoices for that milestone are paid.
  • CaptivArt retains the right to reference completed work in our portfolio unless an NDA forbids it.
  • Third-party licences (fonts, stock, plugins) remain subject to their original terms.

6. Confidentiality & Data Protection

  • Both parties agree to keep non-public information confidential and use it solely for the engagement.
  • Sensitive credentials are stored in encrypted password managers and shared on a need-to-know basis.
  • Our privacy policy explains how prospect and client data is handled across systems.

7. Performance & Guarantees

  • We commit to using best-practice SEO, Ads optimization, and engineering standards. However, search rankings, ad performance, and platform policies are controlled by third parties and cannot be guaranteed.
  • Monthly reporting will highlight work completed, insights, and next steps so you can measure ROI.

8. Cancellation

  • Either party may cancel an agreement with 30 days’ written notice for monthly retainers.
  • Fixed-scope projects can be terminated by covering work completed to date plus any non-refundable expenses.
  • All access credentials must be revoked within five business days of termination unless otherwise agreed.

9. Support & Maintenance

  • Post-launch support windows are specified in the SOW (usually 30 days for websites).
  • Ongoing maintenance, hosting, or Ads management requires a retainer or separate service agreement.
